PUBLIC DISCLOSURE OF MİGROS TİCARET A.Ş.

 Based on the information we received from our main shareholder MH Perakendecilik, BC Partners confirms that they are currently discussing a potential acquisition by Anadolu Endüstri Holding A.Ş. of 40,25% stake from BC Partners in Migros. Per share purchase price of TL 26 has been offered. Following the Anadolu Endüstri Holding A.Ş.’s non-binding offer for 40.25% of the Migros Ticaret A.Ş. shares, exclusive discussions including due diligence has started and there can be no assurances given that the parties will reach agreement. Shareholders of Migros will be kept informed of relevant developments and further announcements will be made as and when appropriate.
